Please read these Terms of Service carefully before using Grey Crest Capital. By accessing or using our platform, you agree to be bound by these terms.
Agreement & Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Grey Crest Capital LLC, a Wyoming corporation ("Grey Crest Capital," "we," "us," or "our"), governing your access to and use of the Grey Crest Capital platform, including our website, mobile applications, APIs, and all related services (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

To use our Services, you must:
Age Requirement
Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater. By using our Services, you represent and warrant that you meet this age requirement.
Jurisdictional Restrictions
You must be a resident of a jurisdiction where our Services are available. Our Services are currently available to residents of the United States, excluding New York (pending BitLicense approval) and Hawaii. We do not offer Services to persons located in, or residents of, any jurisdiction subject to comprehensive U.S. sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
Legal Capacity
You must have the legal capacity to enter into a binding agreement. If you are using our Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
Account Registration & Security
To access certain features, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms or applicable law, or if required by law enforcement or regulatory authorities.

Educational Content
Interactive courses, tutorials, quizzes, and learning paths covering blockchain technology, decentralized finance (DeFi), NFTs, smart contracts, and related topics. All educational content is for informational purposes only and does not constitute financial, investment, legal, or tax advice.
Custodial Services
Grey Crest Capital may offer custodial wallet services that allow you to store, manage, and interact with supported digital assets. All custodial assets are held in segregated accounts and backed 1:1 as verified through our Proof of Reserves program.
Rewards Integration
Our platform integrates with a points and rewards system to incentivize learning. See Section 5 for full details on the Points & Rewards Program.
Points & Rewards Program
Grey Crest Capital offers a Points & Rewards Program (the "Program") to incentivize user engagement and learning. By participating in the Program, you agree to the following terms:
Nature of Points
Points earned through the Program are NOT securities, NOT digital assets or cryptocurrency, and carry NO cash value. Points are non-transferable between users and cannot be sold, traded, or exchanged for cash or cash equivalents outside the Grey Crest Capital platform.
Earning & Redemption
Points may be earned by completing courses, quizzes, challenges, and other platform activities as designated by Grey Crest Capital. Redemption options, rates, and availability are determined solely by Grey Crest Capital and may be modified at any time. Grey Crest Capital reserves the right to set minimum redemption thresholds and expiration periods for points.
Program Modification
Grey Crest Capital reserves the right to modify, suspend, or terminate the Program, or any aspect thereof, at any time and for any reason, with or without notice. This includes the right to adjust point values, expiration policies, earning rates, and redemption options. In the event of Program termination, Grey Crest Capital will provide 90 days' notice and a reasonable period for redemption of accumulated points.
Anti-Abuse
Any attempt to manipulate, game, or abuse the Program — including but not limited to creating multiple accounts, using automated scripts, or exploiting bugs — will result in forfeiture of all points and may lead to account termination.
Important Notice
Points earned through the Grey Crest Capital Rewards Program are NOT securities, do NOT constitute digital assets or cryptocurrency, and carry NO cash value. Points are non-transferable and cannot be sold or exchanged outside the platform.
Marketing, Promotions & Offer Eligibility
Grey Crest Capital may from time to time advertise, promote, or market certain offers, incentives, rates, programs, investment packages, or other benefits (collectively, "Promotional Offers") through its website, social media channels, email campaigns, or other marketing materials. You acknowledge and agree to the following:
Select Eligibility
NOT ALL PROMOTIONAL OFFERS ARE AVAILABLE TO ALL USERS. Promotional Offers are select, discretionary, and may be extended only to certain users based on criteria determined solely by Grey Crest Capital, including but not limited to account status, verification level, account history, jurisdiction, portfolio size, or other eligibility requirements. The presence of a Promotional Offer in general marketing materials does not constitute a guarantee, promise, or entitlement that you will receive or qualify for that offer.
Offer Confirmation
A Promotional Offer is only applicable to you if it is: (a) displayed directly within your personal dashboard after you have logged into your account; or (b) communicated to you directly by Grey Crest Capital via email to your registered email address, explicitly identifying you as an eligible recipient. Any Promotional Offer that does not appear in your dashboard or was not sent directly to you by Grey Crest Capital should not be considered available to you.
No Guarantee of Offers
Grey Crest Capital makes no guarantee that any Promotional Offer will be made available to any particular user. Promotional Offers may be limited in quantity, duration, or geographic availability. Grey Crest Capital reserves the right to modify, suspend, or withdraw any Promotional Offer at any time and for any reason, with or without notice. Viewing an advertisement or marketing material for a Promotional Offer does not create any right, entitlement, or obligation on the part of Grey Crest Capital to extend that offer to you.
Offer-Specific Terms
Each Promotional Offer may be subject to additional terms, conditions, and eligibility requirements, which will be disclosed at the time the offer is presented to you in your dashboard or via direct communication. In the event of a conflict between these Terms and any offer-specific terms, the offer-specific terms shall control with respect to that Promotional Offer.
Important Notice
Not all promotional offers, rates, or incentives advertised by Grey Crest Capital are available to all users. An offer applies to you only if it is displayed in your personal dashboard or communicated to you directly via email by Grey Crest Capital. Viewing an advertisement or marketing material does not guarantee eligibility.
User Assets & Custodial Services
If you use our custodial services to store digital assets:
1:1 Reserve Backing
All user assets held in custody by Grey Crest Capital are backed on a 1:1 basis. We do not lend, stake, or otherwise encumber user assets without explicit user consent. Our reserve backing is independently verified through our Proof of Reserves program, available at /proof-of-reserves.
Withdrawal Rights
You have the right to withdraw your assets at any time, subject to reasonable processing times, applicable network fees, and any regulatory holds required by law. Grey Crest Capital will not unreasonably delay or deny withdrawal requests.
Asset Segregation
User assets are held in segregated accounts separate from Grey Crest Capital's corporate funds. In the event of Grey Crest Capital's insolvency, user assets will be treated as customer property and not as assets of Grey Crest Capital's estate, to the fullest extent permitted by applicable law.
Asset Protection
All user assets held by Grey Crest Capital are backed 1:1 and independently verified through our Proof of Reserves program. View our live reserve status at /proof-of-reserves.
Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and course materials — are owned by Grey Crest Capital or its licensors and are protected by United States and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial educational purposes, subject to these Terms.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Services without our prior written consent, except as incidental to normal web browsing or as expressly permitted by these Terms.
Prohibited Activities
You agree not to engage in any of the following prohibited activities:
• Using the Services for money laundering, terrorist financing, or any other financial crime
• Violating any applicable sanctions, including those administered by OFAC
• Creating multiple accounts to abuse the rewards system or circumvent restrictions
• Using automated means (bots, scrapers, scripts) to access or interact with the Services without authorization
• Attempting to gain unauthorized access to any part of the Services, other accounts, or computer systems
• Interfering with or disrupting the integrity or performance of the Services
• Impersonating any person or entity, or falsely stating or misrepresenting your affiliation
• Using the Services to transmit harmful code, including viruses, trojans, or malware
• Engaging in any activity that violates applicable law or regulation
Grey Crest Capital reserves the right to investigate and take appropriate legal action against anyone who, in Grey Crest Capital's sole discretion, violates these provisions.
Disclaimers & Limitation of Liability
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
GREY CREST CAPITAL DOES NOT PROVIDE INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE. ALL EDUCATIONAL CONTENT IS FOR INFORMATIONAL PURPOSES ONLY. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS BEFORE MAKING ANY FINANCIAL DECISIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREY CREST CAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (D) DIGITAL ASSET PRICE FLUCTUATIONS.
IN NO EVENT SHALL GREY CREST CAPITAL'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GREY CREST CAPITAL IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $10,000.

Dispute Resolution
Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in Cheyenne, Wyoming, and judgment on the arbitration award may be entered in any court having jurisdiction.
Class Action Waiver
YOU AND GREY CREST CAPITAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws provisions.
General Provisions
Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Grey Crest Capital regarding the Services.
Severability. If any provision of these Terms is held to be unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver. The failure of Grey Crest Capital to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer your rights under these Terms without Grey Crest Capital's prior written consent. Grey Crest Capital may assign its rights and obligations under these Terms without restriction.
