Regulatory Status

Grey Crest Capital is a registered Money Services Business (MSB) with the Financial Crimes Enforcement Network (FinCEN), a SEC-registered Investment Adviser (RIA), and a FINRA-registered Broker-Dealer. We hold active money transmitter licenses in 48 states and territories, with remaining jurisdictions pending.

California Operations: Grey Crest Capital is fully registered with the California Department of Financial Protection and Innovation (DFPI) as both a licensed money transmitter and registered investment adviser. We hold an active Finance Lenders License (FLL-CA-60DBO-142857) and comply with the California Consumer Financial Protection Law (SB 1235), the California Financing Law, and the California Investment Adviser Law. All advisors serving California clients hold the required Series 65 or Series 66 licenses and maintain active California-specific registrations.

Multi-State Compliance: Beyond California, Grey Crest Capital holds active money transmitter licenses in all required U.S. states and territories. Each state license is subject to ongoing examination by the respective state banking department, including annual financial audits, surety bond requirements, and permissible investment reviews. We participate in the Nationwide Multistate Licensing System (NMLS) for streamlined multi-state compliance (NMLS ID: 2847193).

Our Chief Compliance Officer, Daniel Reeves, JD, CAMS, holds over 18 years of experience in financial services regulation and reports directly to the Board of Directors. Our compliance program is reviewed annually by an independent consulting firm to ensure adequacy and effectiveness.

Advisor Professional Standards

Every Grey Crest Capital advisor is rigorously vetted, credentialed, and held to the highest professional standards. We require industry-leading certifications and enforce a strict fiduciary duty on all client interactions.

Fiduciary Duty: All Grey Crest Capital advisors operate under a fiduciary standard, meaning they are legally and ethically obligated to act in the best interest of the client at all times. This goes beyond the suitability standard required of broker-dealers and ensures that all recommendations prioritize client welfare above company profits.

Licensing Requirements: At minimum, every advisor on our platform holds a Series 65 (Uniform Investment Adviser Law Examination) or Series 66 (Uniform Combined State Law Examination) license, demonstrating mastery of investment adviser law, ethics, and fiduciary obligations. Advisors providing securities recommendations additionally hold the Series 7 (General Securities Representative) license.

Professional Certifications: All advisors are required to hold the CFP® (Certified Financial Planner) designation, which requires 6,000+ hours of professional experience, completion of a rigorous education program, and passage of a comprehensive exam covering financial planning, insurance, investments, tax, retirement, and estate planning. Select advisors additionally hold the CFA® (Chartered Financial Analyst), CPA, CLU®, ChFC®, CIMA®, or AIF® designations.

Digital Asset Expertise: Given our platform's focus on digital assets, all advisors hold the Certified Digital Asset Advisor (CDAA™) designation from the Digital Assets Council of Financial Professionals and the Certified Blockchain Expert (CBE) credential. This ensures every advisor can provide informed, compliant guidance on cryptocurrency, DeFi, tokenized assets, and blockchain-based investment products.

California-Specific Requirements: Advisors serving California clients maintain active registration with the California Department of Financial Protection and Innovation (DFPI), hold California-approved Series 65/66 licenses, and where applicable, maintain California Department of Insurance licenses for Life-Only, Accident & Health, and Variable Contracts lines of authority. All California advisors complete the state-mandated annuity training and long-term care continuing education requirements.

Continuing Education: All advisors are required to complete a minimum of 40 hours of continuing education annually, including ethics training, regulatory updates, digital asset developments, anti-money laundering updates, and cybersecurity awareness. CE compliance is tracked and audited by our internal compliance team on a quarterly basis.

Background Checks & Ongoing Monitoring: Every advisor undergoes comprehensive background screening including criminal history, credit checks, FINRA BrokerCheck verification, and state regulatory database searches. We conduct ongoing monitoring through FINRA's Central Registration Depository (CRD) system and immediately investigate any disclosures, complaints, or regulatory actions.

Errors & Omissions (E&O) Insurance: Grey Crest Capital maintains comprehensive professional liability insurance covering all advisory activities, with per-claim and aggregate limits that meet or exceed the requirements of all states in which we operate.

AML/KYC Program

Grey Crest Capital maintains a comprehensive Anti-Money Laundering (AML) and Know Your Customer (KYC) compliance program that meets or exceeds the requirements of the Bank Secrecy Act (BSA), USA PATRIOT Act, and FinCEN guidance on virtual currency businesses.

Customer Identification Program (CIP): We verify the identity of all customers using government-issued identification, biometric verification, and address confirmation. Our risk-based tiering applies Standard Due Diligence (SDD) for low-risk clients, Enhanced Due Diligence (EDD) for high-risk clients, and ongoing monitoring for all accounts. Verification is completed through our integrated partner, Jumio, with manual review by our compliance team for escalated cases.

Customer Due Diligence (CDD) & Enhanced Due Diligence (EDD): We assess the risk profile of each customer relationship across multiple dimensions including geographic risk, transaction patterns, source of funds, occupation, and expected account activity. High-risk accounts — including PEPs (Politically Exposed Persons), high-net-worth individuals, and accounts with complex ownership structures — receive enhanced due diligence with ongoing senior-level review.

OFAC Sanctions Screening: All customers, counterparties, and transactions are screened in real-time against OFAC's Specially Designated Nationals (SDN) list, the Consolidated Sanctions List, and other applicable sanctions programs including EU, UK, and UN sanctions lists. Blockchain-specific screening is conducted through Chainalysis KYT (Know Your Transaction) and Chainalysis Reactor for on-chain analytics, wallet risk scoring, and counterparty identification.

Suspicious Activity Reporting (SAR): We maintain robust procedures for identifying, documenting, escalating, and reporting suspicious activity to FinCEN. All employees receive annual BSA/AML training with role-specific modules for customer-facing staff, compliance personnel, and senior management. Our SAR filing process includes automated transaction monitoring with tuned rule sets, manual case investigation, and a 30-day filing timeline for confirmed suspicious activity.

Currency Transaction Reporting (CTR): We file Currency Transaction Reports for all transactions exceeding $10,000 in a single business day, as well as structured transaction reports for patterns designed to evade reporting thresholds.

Travel Rule Compliance: For digital asset transfers exceeding $3,000, we collect and transmit originator and beneficiary information in compliance with FinCEN's Travel Rule and FATF Recommendation 16, using the TRUST (Travel Rule Universal Solution Technology) protocol for interoperability with other virtual asset service providers.

Record Retention: All CIP, CDD, SAR, and CTR records are retained for a minimum of five (5) years after account closure or transaction date, as required by BSA regulations. Records are stored in encrypted, access-controlled systems with full audit trails.

Independent Testing: Our AML program undergoes annual independent testing by Kroll Associates, a nationally recognized audit firm, to evaluate the adequacy of our controls, policies, and procedures. Findings are reported to the Board of Directors and remediated within established timeframes.

Our BSA/AML Compliance Officer, Jennifer Walsh, CAMS, CFE, holds over 12 years of experience in financial crimes compliance and reports directly to the Chief Compliance Officer and the Board of Directors.

Data Protection

Data Protection & Cybersecurity

We comply with all applicable data protection laws, including the California Consumer Privacy Act (CCPA/CPRA), the California Financial Information Privacy Act, the Gramm-Leach-Bliley Act (GLBA), the General Data Protection Regulation (GDPR), and the New York SHIELD Act.

Encryption: All data is encrypted in transit using TLS 1.3 with forward secrecy and at rest using AES-256 encryption. Cryptographic keys are managed through AWS Key Management Service (KMS) with automatic rotation and hardware security module (HSM) backing.

Access Controls: We implement role-based access controls (RBAC), multi-factor authentication (MFA) for all internal systems, privileged access management (PAM) with just-in-time provisioning, and the principle of least privilege for all system access. All administrative access requires hardware security key authentication.

Data Minimization & Retention: We collect only the information strictly necessary to provide our Services and comply with regulatory requirements. Personal data is automatically purged upon expiration of applicable retention periods. KYC/AML records are retained for five (5) years post-account closure; transaction records for seven (7) years; and general account data for three (3) years unless otherwise required by law.

Breach Response: We maintain a documented incident response plan tested through quarterly tabletop exercises and annual full-simulation drills. Our plan includes procedures for containment, eradication, recovery, notification to affected individuals within 72 hours, and reporting to regulatory authorities (including the California Attorney General for breaches affecting 500+ California residents). We maintain a 24/7 Security Operations Center (SOC) for continuous threat monitoring.

Vulnerability Management: Our platform undergoes continuous vulnerability scanning, quarterly penetration testing by CrowdStrike Services, annual red team exercises, and participates in a responsible disclosure / bug bounty program through HackerOne.

Third-Party Risk Management: All third-party vendors with access to customer data undergo security assessments before onboarding and are subject to annual reviews. Vendor contracts include data processing agreements (DPAs), breach notification requirements, and audit rights.

GLBA Safeguards Rule Compliance: As a financial institution, Grey Crest Capital maintains a comprehensive information security program in compliance with the FTC Safeguards Rule (16 CFR Part 314), including a designated Qualified Individual responsible for overseeing cybersecurity, written risk assessments, and continuous monitoring of third-party service providers.

California-Specific Data Rights: California residents may exercise their rights under the CCPA/CPRA including the right to know, delete, correct, opt-out of sale/sharing, and limit the use of sensitive personal information. We do not sell personal information and do not use automated decision-making for consequential decisions without human review. Our annual CCPA metrics report is available upon request.

Asset Protection

Asset Protection & Custody

Grey Crest Capital maintains a 1:1 reserve backing for all user assets, independently verified through our Proof of Reserves program. Our custody framework is designed to protect client assets under all scenarios, including company insolvency.

All user assets are held in segregated accounts, completely separate from Grey Crest Capital's corporate treasury. Under our custodial framework, user assets are treated as customer property — not company assets — and are protected from creditor claims in any insolvency scenario, to the fullest extent permitted by Wyoming's Special Purpose Depository Institution (SPDI) framework and applicable federal law.

Our Proof of Reserves is published in real-time on our platform, allowing anyone to verify that user assets are fully backed. Independent attestation engagements are conducted quarterly by Armanino LLP under AICPA attestation standards (AT-C Section 205). Each attestation verifies on-chain asset balances against total client liabilities using cryptographic proof.

Users can verify their individual account inclusion in the Proof of Reserves through our Merkle tree verification tool. Each account is assigned a unique leaf hash, and users can independently verify their balance is included in the published Merkle root without revealing any other user's information.

Cold Storage & Multi-Signature Security: The majority of digital assets (95%+) are held in air-gapped cold storage with geographically distributed multi-signature wallets requiring 3-of-5 key holders for any withdrawal. Hot wallet balances are maintained at the minimum level necessary for operational liquidity and are protected by institutional-grade insurance coverage.

Insurance Coverage: Grey Crest Capital maintains comprehensive insurance coverage including a digital asset crime policy (covering theft, hacking, and insider fraud), professional liability / E&O insurance, cyber liability insurance, and commercial general liability insurance. Total coverage limits and policy details are available to qualified institutional clients upon request.

Surety Bonds: Grey Crest Capital maintains surety bonds in every state where required for money transmitter licensure. Bond amounts meet or exceed the minimum requirements established by each state's banking regulator, with California requiring a $500,000 surety bond and total bond coverage exceeding $14 million across all jurisdictions.
